Forming an LLC in New York: what to expect
Forming an LLC in New York takes a few more steps than in most states. After the Articles of Organization are filed with the Department of State, New York law requires a new LLC to publish a notice in two newspapers, once a week for six weeks, within 120 days of formation, and then file a Certificate of Publication. An LLC that skips this step can have its authority to do business suspended. Publication costs vary widely by county.
Once you're set up, you'll need an EIN, a business bank account and, if you sell taxable goods or services, a sales tax Certificate of Authority. Corporations and LLCs also file a biennial statement with the state every two years.
We walk you through each step and keep track of the deadlines, so your company starts out, and stays, in good standing.
After you open
Formation is the first step. Most new businesses also need bookkeeping and payroll from day one, and a plan for business taxes and sales tax. Having it all in one office means nothing falls through the cracks.

Business formation questions
Anything else? Give us a call and we'll walk you through it.
Should I form an LLC or a corporation?
It depends on how you want to be taxed, how many owners you have and your plans to grow. Many small businesses start as an LLC because it's simple to run, and an S corporation election can reduce self-employment tax once profits grow. We'll walk through the numbers with you.
What is the New York LLC publication requirement?
Within 120 days of forming, a New York LLC must publish a notice of its formation in two newspapers, once a week for six consecutive weeks, then file a Certificate of Publication with the Department of State. Skipping it can suspend the LLC's authority to do business in New York.
How do I get an EIN?
An EIN is issued by the IRS free of charge. We apply for it as part of setting up your business, so you can open a bank account and hire employees.
Can you help me start a nonprofit?
Yes. We file to form the nonprofit corporation in New York, get its EIN and help it stay compliant afterwards.
